BCEL Annual General Shareholders’ Meeting for the year 2025
On April 30, 2026, at Lao Plaza Hotel in Vientiane Capital, Banque Pour Le Commerce Extérieur Lao Public (BCEL) held the Annual General Shareholders’ Meeting of BCEL for the year 2025, chaired by Mrs. Bounta DARAVY, Vice Chairman of BCEL's Board of Directors. The meeting was attended by 76 shareholders in person and 470 by proxy, representing a total of 1,420,723,090 shares in the meeting, including 74,993,690 shares held by proxy, achieving a participation rate of 91.964% of total BCEL shares. Additionally, representatives from the Bank of the Lao PDR, Office of the State Enterprise Reform Committee, LaoSecurities Exchange, and Lao Securities Commission Office attended to observe the meeting.
The meeting proceeded through each agenda item comprehensively, providing opportunities for shareholders to raise questions on various matters of interest, with BCEL's management providing direct and clear explanations for each issue. The meeting considered and approved the following key matters:
1. Approved the Minutes of the Extra-Ordinary General Shareholders' Meeting of BCEL for the Year 2025;
2. Acknowledged the progress report on the implementation of BCEL's recapitalization, and the sale of shares held by BCEL in Banque Franco-Lao and the Sale of shares held by BCEL in EDL-Generation Public Company;
3. Approved the annual report on the performance and financial statements of BCEL for the year 2025;
4. Approved the allocation of the profit of the year 2025, and dividend payment for the shareholders with the amount of 200 LAK/share, with a total dividend value of 308,974,400,000.00 Kip
5. Approved the business plan for the year 2026;
6. Approved the appointment of the independent auditor for the years 2026, 2027, and 2028;
7. Approved the plan for utilization of funds raised from BCEL's recapitalization;
8. Approved the amendment of BCEL's Articles of Association;
9. Approved the Adjustment of the Basic Salary Index for BCEL employees.
During the meeting, Mrs. Saysamone Chanthachack, Managing Director of BCEL, assured the shareholders that BCEL's management team will continue its unwavering commitment to implement the 2026 business plan to achieve targets and generate maximum profits to safeguard the interests of the organization and the shareholders. The meeting was conducted successfully and concluded satisfactorily.
